Coach Terms of Use

1. Acceptance

By creating a coach account on CoachCoyote, you agree to these Coach Terms of Use, our Privacy Policy, and our Liability Waiver. If you do not agree, you may not use the Platform as a coach.

2. Coach Accounts

You must be at least 18 years old to create a coach account. You are responsible for all activity that occurs under your account. You may not share your account credentials or allow others to access your account. CoachCoyote reserves the right to suspend or terminate accounts that violate these terms.

3. Independent Contractor

You are an independent contractor, not an employee, agent, or partner of CoachCoyote Systems LLC. CoachCoyote does not supervise, direct, or control your coaching activities. You are solely responsible for the services you provide to students, including the safety, quality, legality, and appropriateness of those services.

4. Coaching Standards

You agree to conduct all coaching activities in a safe, professional, and lawful manner. You represent that you hold any certifications, licenses, or permits required by applicable law to provide the coaching services you advertise. You agree not to use the Platform to conduct any illegal activity or to harm students.

5. Student Data

Student information provided through CoachCoyote is shared with you solely for the purpose of delivering coaching services. You agree not to use student data for any other purpose, not to sell or transfer it to third parties, and to handle it in accordance with applicable privacy laws including with respect to minors.

Student accounts and records created on the CoachCoyote platform belong to the student, not exclusively to you as a coach. CoachCoyote reserves the right to retain and maintain student accounts and data regardless of your subscription status, including after cancellation, downgrade, or termination of your account. CoachCoyote will not sell student data to third parties outside the platform.

6. Payments

Student payments are processed through Stripe Connect directly to your connected account. You are the merchant of record for these payments. That means you are responsible for your services to students and for any refunds, chargebacks, and payment disputes arising from them. Refunds and disputes are deducted from your Stripe balance.

Stripe deducts its payment processing fees from your payouts. CoachCoyote charges a service fee on each card transaction, taken from your payout as a Stripe application fee, on top of Stripe's processing fees. Your current rate is shown in your dashboard when you set a price. A separate student-facing service fee may be added to what your student pays, shown to them at checkout. Service fees are non-refundable, including on cancelled or credited bookings. Only card transactions carry a service fee; cash payments do not. You are responsible for your own tax obligations on income received through the Platform, and Stripe may issue a 1099-K when applicable thresholds are met.

If you sell Credit Packs (prepaid credit) to your students, you are responsible for honoring that credit. Prepaid credit your students purchase is a liability you owe them as the merchant of record. If you stop coaching, leave the Platform, or are otherwise unable to deliver the services the credit was purchased for, you remain responsible for fulfilling or refunding any outstanding unused credit. CoachCoyote does not honor, refund, or reimburse prepaid credit sold by you.

7. Platform Access and Fees

CoachCoyote is free to set up and use. There is no subscription. CoachCoyote earns through the per-transaction service fee described in Section 6. We may change the service fee with reasonable notice, and any change applies to bookings made after it takes effect. We may also add, change, or remove Platform features from time to time.

8. Subdomains and Custom Domains

CoachCoyote provides each coach with a subdomain (e.g., yourname.coachcoyote.com) as part of the Platform. This subdomain is owned exclusively by CoachSite Systems LLC and is licensed to you on a non-exclusive, non-transferable basis solely while your account is active. You have no ownership interest in the subdomain and may not transfer, sell, or encumber it.

CoachCoyote may register a custom domain on your behalf for an additional fee. Any such custom domain is registered, owned, and controlled by CoachCoyote Systems LLC. It is licensed to you for use only while your account is active and the domain fee is paid. If your account is closed or the domain fee is not paid, the custom domain license terminates and CoachCoyote is under no obligation to transfer, sell, or renew the domain on your behalf. You acquire no ownership rights to any domain provisioned through the Platform.

CoachCoyote reserves the right to reclaim, reassign, or allow any subdomain or custom domain to expire following account cancellation or termination.

9. Content

You retain ownership of content you upload to CoachCoyote including photos, videos, and descriptions. By uploading content you grant CoachCoyote a non-exclusive license to display that content as part of operating the Platform. You represent that you have the right to upload any content you provide and that it does not infringe any third party rights.

10. Indemnification

You agree to indemnify, defend, and hold harmless CoachSite Systems LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your coaching activities, your use of the Platform, your violation of these terms, or your violation of any applicable law.

11. Limitation of Liability

To the fullest extent permitted by law, CoachSite Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability to you for any claim shall not exceed the service fees CoachCoyote collected from you in the 12 months preceding the claim.

12. Termination

CoachCoyote may suspend or terminate your account at any time for violation of these terms, conduct that harms students or other users, or for any other reason with reasonable notice. You may close your account at any time by contacting us.

13. Service Fee Changes

CoachCoyote reserves the right to change the service fee with at least 30 days advance notice by email. A change applies to bookings made after the effective date. Continued use of the Platform after the effective date constitutes acceptance of the new service fee.

14. Governing Law

These terms are governed by the laws of the State of Arizona. Any disputes shall be resolved in the courts of Yavapai County, Arizona.
